Tennessee is the South’s second-most-active capital markets jurisdiction (after Georgia, covered in this publication’s prior issue), with Nashville’s music and healthcare sectors and Memphis’s logistics and manufacturing base producing substantial Reg D notice filing volume. The Securities Division within the Tennessee Department of Commerce and Insurance (“TDCI”) administers the Tennessee Securities Act of 1980 (T.C.A. §§ 48-1-101 et seq.).
